1. Applicability
These terms and conditions apply to all offers, agreements, assignments, and other legal relationships between Orange Real Estate and its clients, unless agreed otherwise in writing.
By entering into an agreement with Orange Real Estate, the client acknowledges having read and agreed to these terms and conditions.
2. Services
Orange Real Estate offers services in the areas of buying, selling, renting, letting and management of real estate, as well as property valuations and advice.
The content and scope of services are documented in writing in an assignment confirmation or brokerage agreement.
3. Assignment
An assignment comes into effect after written confirmation by Orange Real Estate or when Orange Real Estate begins carrying out the assignment.
The client is required to provide all relevant information completely and timely that is necessary for carrying out the assignment.
4. Fees and Payment
The fee (commission) is agreed upon in advance and is due upon the establishment of an agreement between the client and third party, even if the execution is subsequently cancelled due to circumstances on the client’s side.
Payment must be made within 14 days of the invoice date, unless agreed otherwise in writing.
Late payment will result in statutory interest and collection costs being charged to the client.
5. Liability
Orange Real Estate will exercise the care of a good contractor in carrying out the assignment.
Orange Real Estate is not liable for indirect damages, consequential damages, or loss of profit.
Orange Real Estate´s liability is always limited to the amount paid out by the professional liability insurer in the relevant case.
6. Confidentiality
Orange Real Estate and the client commit to maintaining confidentiality regarding all confidential information they receive from each other in the context of the assignment.
7. Termination of Assignment
Both parties may terminate the assignment in writing with a notice period of 14 days, unless agreed otherwise in writing.
In case of early termination by the client, Orange Real Estate is entitled to charge for costs already incurred.
8. Applicable Law and Disputes
Dutch law applies to all legal relationships between Orange Real Estate and the client.
Disputes will initially be submitted to the competent court in the Amsterdam district.
